Kovalinq Technology Limited Terms of Service

These Terms of Service govern your access to and use of Kovalinq Technology Limited, SalePilot, our website, platform, products, services, and related features.

By using SalePilot, you agree to these Terms.

1. Who We Are

Kovalinq Technology Limited operates SalePilot, a customer engagement platform that helps businesses manage customer conversations, team communication, campaigns, leads, and sales activity from one workspace.

2. Eligibility

SalePilot is intended for business use.

By creating an account, you confirm that you are legally able to enter into this agreement and that you are authorized to act on behalf of the business you register.

3. Your Account

You are responsible for:

• Keeping your login credentials secure
• Ensuring your account information is accurate
• Managing team access and permissions
• Ensuring connected channels are owned or authorized by your business
• All activity that occurs under your account

Kovalinq Technology Limited may suspend or restrict accounts that appear fraudulent, abusive, unauthorized, risky, or in violation of these Terms.

4. Business Verification

Kovalinq Technology Limited may require account, identity, business, payment, or channel verification before enabling certain features.

This may include verification of business ownership, connected channels, payment methods, team access, and compliance readiness.

Failure to complete verification may limit access to features such as WhatsApp, campaigns, higher sending limits, wallet billing, or advanced workflows.

5. SalePilot Features

SalePilot may include features such as:

• Unified customer inbox
• Team collaboration
• Customer profiles and lead tracking
• Campaign tools
• Email sending tools
• Sales activity tracking
• Channel-aware customer actions
• Response window visibility
• WhatsApp usage tracking
• AI assistance on eligible plans
• Reporting and analytics

Feature availability depends on your plan, location, connected platforms, approval status, verification status, and third-party provider availability.

6. Connected Channels

SalePilot may support channels such as WhatsApp, Facebook, Instagram, website chat, email, and other platforms.

TikTok and LinkedIn integrations are planned and subject to platform approval. They should not be considered live until officially enabled inside SalePilot.

Kovalinq Technology Limited does not control third-party platform rules, approvals, pricing, uptime, API access, permissions, message delivery, or account restrictions.

7. WhatsApp Business Use

WhatsApp Business access may be available on eligible plans.

Businesses may be able to connect an eligible existing WhatsApp Business number or add a new number where supported. Kovalinq Technology Limited does not guarantee that every number, country, business account, or setup path will be eligible.

WhatsApp use may be subject to Meta’s rules, pricing, message categories, template approval, response windows, and account quality requirements.

SalePilot does not currently support WhatsApp authentication messages.

8. WhatsApp Usage Charges

Your SalePilot subscription does not include unlimited WhatsApp usage.

WhatsApp usage charges may be billed separately based on message type, recipient country, platform charges, provider fees, template usage, campaign activity, and applicable handling fees.

SalePilot may use a prepaid wallet, usage balance, auto top-up, weekly billing, monthly billing, or approved credit limit depending on the customer, plan, and verification status.

Kovalinq Technology Limited may block chargeable WhatsApp messages when your wallet balance is insufficient, your payment method fails, your account is overdue, or your usage limit has been reached.

Usage estimates shown in SalePilot are for guidance. Final charges may depend on Meta, provider, carrier, currency, tax, and billing adjustments.

9. Response Window and Templates

SalePilot may show response window information to help businesses understand whether a normal reply or approved message template may be required.

This feature is a workflow aid, not a legal or platform guarantee.

Businesses remain responsible for complying with platform rules, including rules related to response windows, templates, customer consent, marketing messages, and message categories.

10. Campaigns and Customer Consent

Businesses are responsible for ensuring they have proper consent and legal authority to contact customers.

You must not use SalePilot to send spam, unlawful campaigns, misleading messages, unauthorized broadcasts, or messages to people who have opted out.

Email campaigns must include required unsubscribe options where applicable. Kovalinq Technology Limited may limit, suspend, or block campaign activity that creates deliverability, compliance, spam, or platform risk.

11. Email Sending

SalePilot may provide email sending through SalePilot Sender or verified business domains.

Sending limits may vary by plan, verification status, domain setup, and account reputation.

Kovalinq Technology Limited may restrict or suspend email sending due to high bounce rates, spam complaints, suspicious activity, domain issues, failed payments, or misuse.

12. AI Assistance

SalePilot may provide AI assistance on eligible plans.

AI assistance may support suggested replies, summaries, campaign content, workflow assistance, and approval-based responses.

You are responsible for reviewing outputs before using them, especially for customer-facing communication, pricing, legal claims, regulated advice, financial services, healthcare-related content, payment matters, and sensitive decisions.

AI assistance is not a substitute for professional advice, licensed advice, business judgment, or human review.

13. Sales Capture and Payment Activity

SalePilot may help businesses organize customer conversations, detect payment-related activity, and create sales records.

SalePilot does not confirm manual bank payments on behalf of a business. Businesses are responsible for verifying payments, confirming orders, fulfilling services, handling refunds, and resolving customer disputes.

Unless separately stated, Kovalinq Technology Limited is not the merchant of record for your customer transactions.

14. Fees, Billing, and Taxes

You agree to pay all subscription fees, usage charges, wallet top-ups, overage charges, taxes, and other amounts associated with your account.

Subscriptions may renew automatically unless cancelled before renewal.

Kovalinq Technology Limited may change pricing, plan features, limits, usage charges, or billing rules with notice where required.

Failure to pay may result in suspension, downgraded access, blocked usage, or termination.

15. Wallet Credits

Wallet credits, if offered, are used only for eligible SalePilot usage charges.

Wallet credits are not a bank account, deposit account, stored-value account, or cash balance. They are not transferable and may not be redeemable for cash except where required by law or expressly approved by Kovalinq Technology Limited.

16. Acceptable Use

You must not use SalePilot to:

• Send spam, scams, phishing, malware, or fraudulent messages
• Violate platform policies or messaging rules
• Harass, threaten, exploit, or deceive people
• Upload unlawful, infringing, or harmful content
• Scrape data or access systems without permission
• Bypass usage limits, billing systems, verification, or security controls
• Misrepresent your identity, business, products, or services
• Send regulated messages without proper authorization
• Use SalePilot for illegal or abusive activity

Kovalinq Technology Limited may investigate and restrict suspicious or harmful use.

17. Customer Data

You own your business data and customer data.

You grant Kovalinq Technology Limited permission to process that data as needed to provide, secure, support, and improve SalePilot.

You are responsible for the accuracy, legality, consent, and rights associated with the data you upload, connect, send, import, or process through SalePilot.

18. Third-Party Services

SalePilot may rely on third-party services for messaging, email, payment processing, hosting, analytics, verification, AI assistance, and platform integrations.

Kovalinq Technology Limited is not responsible for third-party outages, delays, pricing changes, rejected messages, API limits, account restrictions, or policy changes.

19. Availability and Changes

We aim to provide reliable service, but we do not guarantee uninterrupted access.

Kovalinq Technology Limited may modify, suspend, replace, or discontinue features as needed for security, compliance, product improvement, third-party changes, or business reasons.

20. Intellectual Property

Kovalinq Technology Limited owns SalePilot, including the platform, software, design, branding, documentation, workflows, and related intellectual property.

You may not copy, reverse engineer, resell, sublicense, or misuse SalePilot except as permitted by these Terms.

21. Confidentiality

You may receive non-public information about Kovalinq Technology Limited, SalePilot, pricing, features, roadmap, integrations, or business operations.

You agree not to disclose confidential information without permission.

22. Disclaimers

SalePilot is provided on an “as is” and “as available” basis.

Kovalinq Technology Limited does not guarantee that SalePilot will increase sales, generate leads, prevent all missed messages, ensure platform approval, guarantee message delivery, or eliminate business risk.

23. Limitation of Liability

To the maximum extent permitted by law, Kovalinq Technology Limited will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

Kovalinq Technology Limited’s total liability for any claim will not exceed the amount you paid to Kovalinq Technology Limited for the service during the three months before the claim arose, unless applicable law requires otherwise.

24. Indemnity

You agree to defend and indemnify Kovalinq Technology Limited from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your use of SalePilot, your customer data, your campaigns, your connected channels, your breach of these Terms, or your violation of law or platform rules.

25. Suspension and Termination

Kovalinq Technology Limited may suspend or terminate access if you violate these Terms, fail to pay, misuse the platform, create compliance risk, violate third-party platform rules, or create harm to Kovalinq Technology Limited, users, customers, or connected platforms.

You may cancel your account according to the cancellation process available in SalePilot or by contacting support.

26. Governing Law

These Terms are governed by the laws of Quebec and the applicable laws of Canada, unless another jurisdiction is required by law.

Disputes will be handled in the courts located in Quebec, Canada, unless applicable law requires otherwise.

27. Changes to These Terms

Kovalinq Technology Limited may update these Terms from time to time. The updated version will be posted on our website with a new “Last Updated” date.

Continued use of SalePilot after changes means you accept the updated Terms.
